The terms of using KAPITAH®.

These Terms of Service (the "Terms") govern your access to and use of the KAPITAH® platform, websites, and APIs (collectively, the "Service") provided by Kapitah, Inc. ("KAPITAH®", "we", "us"). By creating an account or using the Service you agree to these Terms on behalf of yourself and any organization you represent.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately at security@kapitah.com if you suspect any unauthorized access.

You must be at least 18 years old and legally able to enter into a binding contract to use the Service.

Paid plans renew automatically at the end of each billing period unless cancelled before renewal. Fees are non-refundable except where required by law. We may change pricing with at least 30 days' notice before the change applies to your next term.

Free plans are provided as-is. We may impose reasonable limits on free-tier usage and may suspend or terminate accounts that abuse the platform.

You retain all rights to the data you upload, generate, or import into the Service ("Customer Data"). You grant KAPITAH® a limited license to process Customer Data solely to operate, secure, and improve the Service for you.

We do not sell Customer Data and we do not use Customer Data to train third-party AI models. Processing of personal data is governed by our Privacy Policy and Data Processing Addendum.

You agree not to:

• Use the Service to violate any law or third-party right.
• Upload malware, conduct security tests without written permission, or interfere with other tenants.
• Reverse-engineer the Service or attempt to extract source code beyond what applicable law permits.
• Resell the Service or expose it to third parties as a hosted product without a written agreement.

The Service includes AI-assisted features (the "AI Assistant", agentic import, receipt capture). Outputs are probabilistic and may be incorrect. You are responsible for reviewing AI-generated journal entries, classifications, and other suggestions before relying on them for financial reporting, tax, or compliance purposes.

The Service, including all software, documentation, and trademarks, is and remains the property of KAPITAH® and its licensors. Except for the limited license to use the Service granted by these Terms, no rights are transferred to you.

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, KAPITAH® disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. KAPITAH® does not provide tax, audit, or legal advice; the Service is a tool, not a substitute for professional judgment.

To the maximum extent permitted by law, KAPITAH®'s aggregate liability under these Terms will not exceed the fees you paid for the Service in the twelve months preceding the event giving rise to the claim. KAPITAH® is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data.

You may cancel your subscription at any time from account settings. We may suspend or terminate access for material breach of these Terms. Upon termination you have 90 days to export your Customer Data through the in-product bulk export, after which we may delete it.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. The exclusive venue for any dispute is the state and federal courts located in Wilmington, Delaware, unless mandatory consumer-protection laws in your jurisdiction provide otherwise.

We may update these Terms from time to time. Material changes will be announced via the product or by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
